Message from the Directors

All major players in the transactions market acknowledge the need for a thorough assessment of the worth of the business in which they intend to invest. Time and resources are limited and must, therefore, be carefully allocated.

A multidisciplinary team that ensures that investors get the maximum reward from the deal as it is outlined is a key factor in a successful transaction (in all its aspects and at all its stages).

Mergers and Acquisitions is an executive course that stems from the emerging need for managers to develop the skills that will enable them to be actors in the negotiating process of a transaction and to manage and coordinate complex issues of a financial, legal and fiscal nature. 

PwC and Católica Porto Business School have joined their respective expertise and experience in Consulting and Training to put together a team of trainers aligned with the mission and the shared values of both entities to add real value to all those who are interested in finding out more about themes relating to transactions.

Both organisations have jointly developed an educational programme that meets the expectations of Executives: find solutions for the market paradigm and provide those responsible for operations with an array of key competences to tackle transactions.

  • Outline the motivations associated with the M&A process;
  • Describe types of investors and operations;
  • Identify synergy enhancers;
  • Provide knowledge on the different phases of a transaction and on their challenges;
  • Equip participants for a more effective performance as managers of corporate transactions from a financial, legal and taxation perspective;
  • Gain understanding on the financial, legal and fiscal Due Diligence process, as well as on its objectives and areas of analysis; what is the output and the incorporation process in decision-making;
  • Identify the material and formal features of typical corporate transactions;
  • Identify and understand the drivers in the formalisation of a transaction through a Sale and Purchase Agreement (SPA or asset purchase, merger or demerger processes);
  • Gain understanding on the impact of taxation and legal requirements on a transaction: structuring the acquisition, impacts on the go-live and on divestment;
  • Address the challenges on the day following the transaction;
  • Understand the new international trends and best practices in the area.

Candidates Profile

Applicants must have a high education degree. Candidates who do not have this requirement may be accepted provided their background and knowledge acquired by professional experience justify such admission. The process of selection and ranking of candidates will be done according to the requirements defined in the Regulation governing this training and always based on curricular and professional judgment, taking into account the submission order of the respective applications.

Payment policy

When applying it should be paid 10% of the programme's amount. The remaining amount must be settled in accordance with the payment schedule set. VAT at the legal rate must be added to all prices


Cancellation of an entry within 15 days prior to the start of the programme will lead to no reimbursement of the registration fee. A no-show or cancellation of a registration after the start of the programme involves its full payment. In certain circumstances, the Católica Porto Business School may postpone or cancel the implementation of a programme and in that case shall return in full all the amounts charged.


Enrolments for two attendees from the same institution shall benefit from a 10% discount on the tuition fee and enrolments for three or more attendees shall be granted a 15% discount. Universidade Católica Portuguesa and EGE - Escola de Gestão Empresarial alumni are entitled to a 10% discount.

AEP members are eligible for a 10% discount and AEP Plus members for a 13% discount on the tuition fee. PwC employees and clients shall benefit from a 10% discount. Discounts are not cumulative.
